We're looking for videos of the inspiring and uplifting things people are doing/creating at home to cope with social distancing. Meant to remind everyone that connection can still be cultivated, even when we are physically apart. Things like you showing off art projects you've made, new dishes you've tried making, a beautiful flower you saw on a walk in your neighborhood, or screen recording of a fun Zoom party.

I, the undersigned person, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, hereby irrevocably grant permission to SoulPancake Productions, LLC and its successors, assignees and licensees (collectively, “You”) to use my name, image, voice, performance and likeness (collectively, “Likeness”) as such Likeness appears in still photography, audio recordings, audiovisual recordings and other renderings of me shot, recorded, or created in connection with the program currently entitled “Untitled Social Media Stories” (the “Program”) and in connection with advertising, publicizing, exhibiting and exploiting the Program and other public relations, advertising, and marketing purposes, in whole or in part, by any and all means, media, devices, processes and technology now or hereafter known or devised in perpetuity throughout the universe. I hereby acknowledge that all of the results and proceeds of my services are work-made-for-hire, and if not, I hereby irrevocably grant and assign, to be owned by You, all rights, title and interest in my appearance and performance. I understand that You have no obligation to utilize my Likeness or any portion thereof in the Program or in any other motion Program or to produce or exploit the Program or continue the same once commenced. I understand that You have been induced to proceed with the production, distribution and exploitation of the Program in reliance upon this agreement. This release is given without the promise of compensation. This Appearance Release shall not be subject to the jurisdiction of any union or guild, and no additional payments, royalties or consents of any party are required in connection with Your use of any of the rights granted herein. All of the above rights are granted without any restriction or reservation of any kind or nature whatsoever and without any right on any part to enjoin or interfere with the production, distribution or exploitation of the Program. In no event shall I be entitled to seek to restrain the development, production, distribution, exhibition, marketing, advertising, or other exploitation of the Program or otherwise seek or obtain injunctive or other equitable relief against You. By signing this, I hereby release You from any and all claims and demands arising out of or in connection with such use, including, without limitation, any and all claims for invasion of privacy, infringement of my right of publicity, defamation (including libel and slander), false light and any other personal and/or property rights. You shall have the right to assign or license your rights hereunder to any person, corporation or entity, and the provisions hereof shall be binding upon me and my successors, licensees, assigns, heirs, executors and administrators. This Appearance Release sets forth the entire understanding of the parties hereto and supersedes and replaces all other agreements (written and oral) between the parties relating to the subject matter hereof. This Appearance Release shall be construed in accordance with the laws of the State of California and shall be deemed to have been executed and fully performed in the State of California. This Appearance Release may not be terminated or revoked under any circumstances. I represent that I am of sound mind and body and have entered into this agreement knowingly and willingly.

This agreement gives us permission to use the materials (photos, videos, and text) submitted as part of this submission. *
MATERIALS RELEASE AGREEMENT
1. GRANT OF RIGHTS. Licensor hereby grants to Producer and its licensees, designees and assigns, a non-exclusive license to use the attached materials. (collectively, the “Materials”) in accordance with the terms of this Agreement. The license granted hereunder includes the perpetual, worldwide right to photograph, edit, telecast, rerun, reproduce, use, syndicate, license, print, distribute and otherwise exploit the Materials, or any portion thereof, as incorporated in any version of Producer’s program currently entitled “Untitled Social Media Stories” (the “Program”), in whole or in part, in any manner and in any media, whether now known or hereafter devised, and for the promotion of the Program. 2. NO OBLIGATION TO USE. Producer shall have the sole right to determine the manner in which the Materials shall be used pursuant to this Agreement, and Producer shall not be obligated to use the Materials as part of the Program or otherwise, or to broadcast or otherwise exhibit or exploit the Program. 3. REPRESENTATIONS AND WARRANTIES. Licensor represents and warrants to Producer that Licensor has the full legal right, power and authority to grant to Producer the license provided for herein, that it owns or controls the complete exhibition and other rights to the Materials including, but not limited to any and all copyrights, trademarks and rights in the likenesses of any people (if any) depicted in the Material for the purposes contemplated in this Agreement and that neither the Materials nor the exercise of the rights granted herein shall infringe upon or violate the right of privacy or right of publicity of, or constitute a libel or slander against, or violate any common law or any other right of, any person or entity. 4. INDEMNIFICATION. Licensor shall indemnify, defend and hold harmless Producer, its parent and affiliated companies, its and their licensees, successors and assigns, and each of its and their officers, agents and employees from all claims, damages, liabilities, costs, losses, and expenses, including, without limitation, reasonable attorneys' fees, arising out of or related to Producer’s exercise of the rights granted herein. 5. REMEDIES. Licensor agrees that its exclusive remedy for any breach of any provision hereunder shall be an arbitration for damages and in no event shall Licensor be entitled to rescind this Agreement or to seek injunctive or any other equitable relief. 6. ARBITRATION. Any dispute relating to this Agreement shall be settled pursuant to binding arbitration initiated and conducted according to either the JAMS Streamlined (for claims under $250,000) or the JAMS Comprehensive (for claims over $250,000) Arbitration Rules and Procedures, at the Los Angeles office of JAMS, or its successor, in effect at the time of the request for arbitration is made. The arbitration shall be conducted in Los Angeles County before a single neutral arbitrator. The prevailing party in any such action shall be entitled to collect reasonable attorneys’ fees and costs. 7. MISCELLANEOUS. This license and the rights hereunder may be freely assigned by Producer. This Agreement contains the entire understanding of the parties in connection with subject matter hereof and supersedes and replaces all prior negotiations, proposed agreements, and agreements, written and oral, relating thereto, and cannot be changed or terminated except by written instrument signed by both parties. Licensor acknowledges that the rights granted herein shall inure to the benefit of Producer and Producer’s successors, licensees, and assigns, and such rights are freely assignable by Producer. Any waiver of any term of this Agreement in a particular instance shall not be a waiver of such term for the future. The invalidity or unenforceability of any term of this Agreement shall in no way affect the validity or enforceability of the remainder of this Agreement. 8. GOVERNING LAW. This Agreement shall be governed by the laws of the State of California.
